-

-
Limited liability company by guarantee without share capital
-
Limited liability company by guarantee with a share capital

Choose the name of your company
You will need to select a company name prior to incorporating a company in Cyprus. The selected name must be submitted for approval in the Cyprus company register (Registrar of Companies).
This usually takes 3-4 days to complete, and once your choice is accepted, it will be reserved for you for the next 6 months. At this point, you are required to file the application for the Cyprus company incorporation under such name.
The proposed name - to be accepted - must be in accord with Cypriot regulations. Most importantly, it should particularly not be the same, almost the same or deceptively similar to the name of any registered entities in cyprus company registry.
The name also cannot be misleading, undesirable, or contain restrictive words or phrases (such as “bank” or “casino”) unless authorization is received from the relevant governmental authority or regulatory authority.

Document Preparation
A package of documents is to be drawn up prior to submitting application for company registration Cyprus. The documents you will need may be different based on the type of entity you choose. Nevertheless, no matter what you choose, it is important to know that the usual list of documentation for Сyprus company formation is the following:
-
The memorandum and articles of association. These must be properly signed and drafted in Greek, as required by Cypriot law;
-
Details of the shareholders, usually including passport copies and proof of address;
-
Details of the company’s director and secretary;
-
Information regarding the company’s registered office address in Cyprus.

Applying to incorporate a Company
With the approved company name and all necessary documentation prepared you may now apply the application for the registration of a Cyprus company. This can be accomplished either through registering a company in Cyprus online via e-filing, or by submitting the documents in person or by post.
Upon submission, the Cyprus company register examines the application. If everything checks out then the company is officially registered and a certificate of incorporation is provided.
The certificate of incorporation shows the company has been registered and now exists as a legally incorporated entity. It will contain the registration number of the company that should be included in all official papers and correspondence.

What Happens After Your Company Is Registered
The key steps following the incorporation of a Cyprus company include:

Open bank account
Once your entity is registered you will need to set up the corporate bank account. The procedure for opening a bank account varies depending on the specific requirements of the chosen bank. Yet, not all businesses necessarily require a traditional commercial bank for their banking needs. Now there are alternatives with online banks or Electronic Money Institutions (EMIs).

Corporate Compliance in Cyprus: Your Ongoing Responsibilities
There is more to it than simply registering a company. To ensure that your business remains lawful and in good standing, there are continual obligations that each business must meet.
Once in every calendar year, the companies are required to file an Annual Return to the Registrar of Companies within which a copy of the company’s financial statements has to be attached.
Furthermore, it is required to prepare audited financial statements at the end of each tax year. These are to be filed with the Tax Department together with the tax return.
Any alterations made in the entity's organisation or any significant details - like the company name, the directors, the secretary, and the registered office address - should also be declared officially to the Registrar of Companies.

Tax Information for a Cyprus Company Registration
The tax system is a big benefit which attracts businessmen into the country.
They do enjoy one major advantage, though - the low corporate tax rate of 12.5%. But it is important to mention too that Cyprus is thinking of a tax reform, and increasing tax up to 15% is in the talk. Even if this change occurs, Cyprus will remain a highly attractive jurisdiction from a tax perspective.
Another important benefit is that there is no withholding tax on dividends. In most cases, dividends are also exempt from the Special Defence Contribution (SDC), for example, dividends paid by a Cyprus company to non-resident individuals.
Additionally, Cyprus offers a special tax regime known as the IP Box. This regime allows companies generating income from intellectual property (i.e. royalties, sale of IP, license fees, sale of products and services containing IP), to benefit from significant tax advantages (lower rates). With the IP Box regime an enterprise can bring the corporate tax rate down from 12.5% to 2.5%. You can learn more about the features of this regime in our article.
In this article, we discussed the most basic things to be considered when incorporating a company in Cyprus, from the type of company to the tax benefits. Such general observations set the tone of how to set up a company in Cyprus properly.
