The process of company registration in Malta begins with the assessment of the most appropriate legal form for the proposed business activity. In the majority of cases involving foreign investors, the preferred vehicle is a private limited liability company (Ltd), as it offers a well-established corporate structure, limited liability protection, and operational flexibility within the Maltese legal framework.

Once the appropriate legal form has been determined, the corporate structure of the entity must be established. This includes the appointment of shareholders, directors, a company secretary, and the designation of a registered office in Malta. At this stage, the proposed company name must also be reviewed and cleared through the Malta Business Registry in order to confirm its availability and compliance with the applicable statutory and administrative requirements.

Prior to incorporation, the competent authority will require the submission of know-your-client (KYC) and due diligence documentation in respect of the persons involved in the company. As a general rule, this documentation includes passport copies of the shareholders, directors, and company secretary; proof of residential address dated within the previous three months; curriculum vitae of the principal persons involved; information and supporting explanation regarding the source of funds; a chart reflecting the ownership and control structure; and a declaration identifying the ultimate beneficial owner. Depending on the circumstances of the case, additional supporting documents, including bank or professional references, may also be requested. Following the completion of the due diligence stage, the incorporation documents are prepared for filing.
