Deals Should Not Wait on Legal

Growing technology companies often reach the same bottleneck: contract volume increases faster than the internal team can review it.
Enterprise customers redline standard terms, sales teams wait for approvals, vendors submit their own paper, and cross-border transactions introduce unfamiliar requirements. A full-time commercial counsel hire takes time, while traditional outside counsel can make the final cost difficult to predict.
A contract review tool may highlight clauses, but it does not necessarily take responsibility for the complete commercial workflow. The Contract Desk provides another option: a structured contract review and negotiation service with defined pricing, turnaround targets and escalation rules.
Your team keeps control over commercial decisions. We manage the contract queue, prepare the redlines and support negotiations within the positions your company has approved.
Commercial Contract Review and Negotiation Services

Contract Review and Redlining
We review the agreement against your business model, transaction structure and approved risk positions.
Depending on the scope, the review may include:
-
a redlined version of the agreement;
-
a plain-English summary of material risks;
-
recommended changes;
-
fallback positions for disputed clauses;
-
issues requiring a commercial decision;
-
issues that should be escalated to responsible counsel.
The goal is to produce a usable redline, not an abstract list of legal concerns.

Negotiation Through Agreed Terms
Where negotiation is included, we continue working after the first redline.
The service may cover subsequent drafts, written responses, counterparty calls and coordination with your sales, finance, operations or legal team. Material concessions remain subject to client approval.
We manage the negotiation process through agreed terms and signature, subject to counterparty timing, complete instructions and the limits stated in the engagement scope.

Contract Playbook Development
Repeated negotiations should make future reviews faster and more consistent.
The Contract Desk can maintain a playbook covering:
-
preferred contract positions;
-
acceptable fallback language;
-
approval thresholds;
-
clauses requiring escalation;
-
non-negotiable terms;
-
positions that differ by customer, vendor or jurisdiction.
The playbook remains available to your company and can be transferred to a future in-house hire.

Customer and Vendor Contract Support
We work with both customer-facing and vendor-side agreements without representing opposing parties in the same transaction.
This includes reviewing your standard paper, responding to counterparty redlines and reviewing agreements received from customers, suppliers and business partners.

Master Services Agreements

Built for B2B Technology Companies
The Contract Desk is designed primarily for funded B2B SaaS, AI, software, IT services and FinTech companies with approximately 20–300 employees and recurring commercial contract volume.

Companies Without an In-House Legal Team
Your operations, finance or sales team may currently manage agreements while the company prepares to hire its first commercial counsel.
The Contract Desk can cover the queue, introduce a structured approval process and create a playbook that can later be transferred to your in-house hire. Any US-law advice is provided through the responsible US law practice identified in the engagement letter.
How the Contract Desk Works

1. Contract Workflow Assessment
We begin with a 20-minute assessment of your current contract flow.
We discuss:
-
the agreements you handle most often;
-
monthly and active contract volume;
-
where negotiations typically stall;
-
who approves commercial and risk decisions;
-
existing templates and playbooks;
-
target turnaround times;
-
relevant governing laws and jurisdictions.
This initial conversation is used to scope the service. A conflict check and the required engagement arrangements must be completed before legal advice is provided.

2. Paid Pilot
The first engagement can be one contract review with negotiation support or a two-week Contract Desk pilot.
The pilot allows your team to assess the quality of the redline, communication process, turnaround and commercial approach using a real transaction.

3. Ongoing Contract Desk
After the pilot, the service can continue as a monthly desk with:
-
an agreed contract volume band;
-
an initial-redline target;
-
named responsible counsel;
-
an intake and escalation process;
-
negotiation support;
-
an evolving contract playbook;
-
regular review of recurring issues.

US-Law and Cross-Border Coverage

Every US-law deliverable is provided under the responsibility of named US-admitted attorney.
US legal advice is provided through [US Law Practice] by [Attorney Name], admitted in [State or States]. Icon Partners provides the surrounding service layer, coordination and non-legal operational support.
For international matters, Icon.Partners coordinates access to locally qualified lawyers across 40+ jurisdictions where local-law analysis is required.
This does not mean that one lawyer is admitted in every jurisdiction. The responsible provider and applicable engagement structure are identified for each matter.
Why Companies Use the Contract Desk

Legal Support, Not Just a Review Tool
The service combines structured contract review with human judgment, negotiation support and clearly assigned responsibility for legal work.

Predictable Pricing
Fixed per-contract fees and monthly volume bands give the company a clearer cost structure than open-ended hourly billing.

One Workflow for US and International Agreements
The same intake and project-management process can be used for US contracts and cross-border matters, with locally qualified counsel involved where necessary.

Knowledge That Accumulates
Your preferred positions, approvals and fallback language are recorded in a playbook instead of being rediscovered during every negotiation.

See the Turnaround on Your Own Contracts
Start with a 20-minute contract workflow assessment. We will review how agreements currently move through your company, identify where the process slows down and recommend an appropriate pilot or monthly volume band.
